Terms of Use

Purpose

These Terms of Use (“Terms”) define the conditions governing use of the services provided by ShopyLink (“the Service”), together with the parties’ rights and obligations.

Access to the Service

The Service is available to restaurant professionals with internet access who wish to use ShopyLink solutions.

Users declare that they have the legal capacity to accept these Terms and agree to use the Service in accordance with applicable laws and regulations.

Registration and user account

Using the Service requires a user account. Users must provide accurate, current information when registering.

Users are responsible for keeping their login credentials confidential and for all activity carried out through their account.

Description of the Service

ShopyLink provides a SaaS solution including:

• A custom mobile app for restaurant customers
• A dedicated driver app
• A restaurant management back office
• Marketing and loyalty tools
• Technical support and onboarding

User obligations

Each user must use ShopyLink, Ciyou, and StaffLink fairly, lawfully, and in line with their role.

Restaurants

• Keep menus, prices, opening hours, stock, allergens, and commercial information accurate
• Prepare orders in compliance with applicable hygiene, food-safety, tax, and commercial rules
• Handle cancellations, complaints, and refunds linked to their offer or preparation

Drivers

• Provide accurate identity and contact information
• Update delivery statuses only for deliveries actually handled
• Comply with traffic, safety, and handover rules

End customers

• Provide accurate contact details, delivery addresses, and instructions
• Use the service without fraud, abuse, impersonation, or attempts to harm the platform

StaffLink companies and teams

• Keep employee, schedule, time-tracking, absence, task, and document information accurate and up to date
• Use StaffLink in compliance with labour law, internal rules, confidentiality, and applicable social obligations
• Assign user access according to actual roles and remove access that is no longer required

Intellectual property

All Service elements—including software, text, graphics, logos, icons, sounds, and databases—are the exclusive property of ShopyLink SARL and are protected by Luxembourg and international intellectual-property laws. Unauthorized reproduction, representation, or exploitation is strictly prohibited.

Personal data

Personal-data processing is governed by our Privacy Policy, which forms an integral part of these Terms.

Liability

ShopyLink SARL will use all necessary means to maintain the availability and quality of the Service, but is not liable for interruptions or malfunctions beyond its control.

ShopyLink SARL’s liability is limited to direct, foreseeable loss and excludes indirect or unforeseeable loss.

Changes to the Terms

ShopyLink SARL may change these Terms at any time. Users will be informed by email or notification. Continued use after a change constitutes acceptance of the updated Terms.

Applicable law and jurisdiction

These Terms are governed by Luxembourg law. The parties will first seek an amicable resolution; failing that, the courts of the Grand Duchy of Luxembourg have exclusive jurisdiction.
