Terms of Sale

Purpose and solution description

These Terms of Sale govern the commercial relationship between ShopyLink SARL (“the Provider”) and any restaurant professional (“the Customer”) subscribing to the ShopyLink SaaS solution.

• The solution includes a custom customer app, a driver app, an order and business management back office, marketing, loyalty and analytics features, technical support, and onboarding.

Launch fees and subscription

Launch fee: a one-time fee of €399 excluding VAT covers creation and customization of the app, initial setup, and onboarding.

Monthly subscription: access then costs €199 excluding VAT per month, as shown on the Pricing page and during subscription.

The subscription has a firm minimum term of twelve (12) months from activation. The Customer may request termination at the end of that period by emailing contact@shopylink.lu at least one (1) month before the end date. A termination request made before the twelve-month period ends does not release the Customer from the commitment: all remaining monthly payments through the end of the term become due.

Prices are in euros excluding VAT. Applicable VAT is added under current law.

Payments via Stripe

Payments are securely processed by Stripe, a PCI DSS Level 1 certified provider. The Customer authorizes ShopyLink to charge the registered payment method monthly.

Accepted cards are Visa, Mastercard, and American Express.

After a failed payment, the Customer has 7 days to remedy the situation; access may then be suspended.

Suspension and termination

The subscription has a firm minimum term of twelve (12) months from activation. The Customer may request termination at the end of that period by emailing contact@shopylink.lu at least one (1) month before the end date. A termination request made before the twelve-month period ends does not release the Customer from the commitment: all remaining monthly payments through the end of the term become due.

ShopyLink SARL may suspend access to the Service in the following cases:

• Non-payment after formal notice
• Breach of the Terms of Use or Terms of Sale
• Fraudulent or unlawful use
• After termination, data remains available for export for 30 days and is then deleted.

Limitation of liability

ShopyLink provides a SaaS service subject to technical, network, hosting, and third-party-service constraints. It is not liable for decisions, content, or operations carried out by restaurants, drivers, end customers, employers, administrators, or employees through Ciyou or StaffLink.

• Accuracy of menus, prices, availability, photos, allergens, and information published by the restaurant
• Quality, compliance, preparation, packaging, or temperature of food products
• Delay, absence, behaviour, or incident attributable to a driver or restaurant
• Wrong address, unavailability, or incomplete information provided by the end customer
• Accuracy of schedules, time records, absences, documents, approvals, HR data, or internal decisions entered in StaffLink
• Disciplinary, payroll, social, tax, or organisational decisions made by the Customer based on StaffLink data
• Indirect damages, loss of revenue, or interruption caused by events outside ShopyLink's control

Cap

Unless mandatory law provides otherwise, ShopyLink's total liability is limited to the amount paid by the Customer for the relevant service during the previous twelve (12) months.

Intellectual property

The ShopyLink solution, including its software, interfaces, algorithms, documentation, and components, is exclusively owned by ShopyLink SARL.

The subscription grants a personal, non-exclusive, non-transferable right of use for its duration only. Unauthorized reproduction, modification, distribution, or exploitation constitutes infringement.

Protection of the business model

The Customer expressly agrees not to:

• Copy or use ShopyLink’s business model, features, or architecture to build a competing product
• Reverse-engineer any part of the Service
• Resell, sublicense, or give third parties access
• Use information obtained from the Service for competitive purposes

Data and confidentiality

Customer and end-customer data remains the Customer’s exclusive property. ShopyLink uses it only to provide the Service.

Personal-data processing is governed by our Privacy Policy.

Applicable law and jurisdiction

These Terms are governed by Luxembourg law. The parties will seek an amicable solution within 30 days. Failing agreement, the courts of the Grand Duchy of Luxembourg have exclusive jurisdiction.

Acceptance

Subscribing to ShopyLink constitutes full acceptance of these Terms of Sale and the Terms of Use.
